1. Introduction and Acceptance of Terms

Welcome to TheREDDFactory's Live Music Review service.

These Live Music Review Terms & Policies ("Terms") constitute the agreement governing participation in the music submission, queue priority, livestream review, and associated services provided by TheREDDFactory, LLC ("TheREDDFactory," "TRF," "Company," "we," "our," or "us").

For purposes of this Agreement, "you," "your," "participant," "submitter," and "customer" refer to any individual or entity who accesses the platform, submits content, redeems a promotional benefit, purchases priority, or otherwise participates in the service.

TheREDDFactory provides Live Music Reviews through its official website and supported third-party broadcasting platforms.

By using the service after being presented with these Terms, submitting music, redeeming a complimentary gift, or completing a paid purchase, you acknowledge and agree to the applicable provisions, subject to any consent or notice requirements imposed by law.

These Terms include the Company's Refund & Cancellation Policy, participation conditions, intellectual property provisions, and paid priority service rules.

Participants who do not agree to the applicable Terms should refrain from submitting content or purchasing services.

These Terms apply specifically to TheREDDFactory Live Music Reviews. They do not automatically govern independently offered merchandise, recording features, artist management, music distribution, tournaments, or other business services.

2. Description of Services

TheREDDFactory operates an online music review system through which artists, producers, and other eligible participants may submit musical recordings for public evaluation.

The service may include:

Participation in free reviews does not require purchasing a paid priority service.

TheREDDFactory may establish reasonable operating procedures, submission limits, and scheduling rules.

Submission availability may change due to livestream capacity, technical conditions, or operational requirements.

Participation does not create an employment relationship, recording agreement, management agreement, music distribution agreement, publishing arrangement, or other professional relationship unless separately agreed in writing.

3. Eligibility and Participant Responsibilities

Participants must possess the legal capacity to enter the applicable agreement or have the authorization required by law.

Individuals purchasing paid services must be authorized to use their selected payment method.

Participants agree to provide accurate and reasonably complete submission information.

This may include an artist name, song title, contact email, livestream platform selection, platform username, music link, or audio file.

Participants are responsible for ensuring that submitted information is sufficient for TheREDDFactory to identify and process their song.

Participants must not knowingly submit false payment information, impersonate other artists, or misrepresent ownership of musical recordings.

TheREDDFactory may request reasonable corrections or verification when submitted information appears inaccurate, unauthorized, or fraudulent.

4. User Representations and Warranties

By submitting any song, recording, music link, artwork, audiovisual material, or related content ("Submitted Content"), the participant represents and warrants that:

  1. The participant owns the Submitted Content or has obtained the rights necessary to submit it.
  2. The participant possesses appropriate permission to authorize the review-related uses described in these Terms.
  3. The submission does not knowingly infringe the copyright, trademark, privacy, publicity, or other legally protected rights of any third party.
  4. Necessary authorizations have been obtained for applicable samples, licensed beats, instrumentals, interpolations, featured performers, and other protected elements.
  5. The participant has legal authority to grant the rights expressly described in this Agreement.
  6. The submission does not contain knowingly fraudulent or malicious material.
  7. The information concerning the submission is accurate to the best of the participant's knowledge.

TheREDDFactory may request documentation establishing the participant's authorization when reasonable concerns arise.

The Company reserves the right to reject, restrict, or remove submitted material when legitimate legal, licensing, or ownership concerns exist.

Submitting a publicly accessible link does not independently establish copyright ownership or permission for every possible use of that recording.

5. Ownership of Submitted Content

Artists and other lawful rights holders retain ownership of their original musical compositions, sound recordings, and other protected material.

Submitting music to TheREDDFactory does not transfer ownership of the submitted song to TheREDDFactory.

No provision of this Agreement constitutes a sale or permanent assignment of the underlying music copyright.

TheREDDFactory retains ownership of its independently created branding, original graphics, website content, audiovisual production elements, review commentary, and other company intellectual property.

Each party retains its independently owned rights, subject to the permissions expressly granted under these Terms.

6. License to Use Submitted Content

By submitting content, the participant grants TheREDDFactory a non-exclusive, worldwide, royalty-free license, limited to the rights the participant lawfully controls or is authorized to grant, for uses reasonably connected to operating, documenting, marketing, and promoting the Live Music Review service.

Subject to applicable law and third-party rights, this permission includes the ability to:

Necessary sublicensing to technical or distribution providers is limited to the scope required to facilitate these authorized activities.

The license does not grant TheREDDFactory the right to claim ownership of an artist's underlying music.

The license does not independently authorize TheREDDFactory to distribute the song as a standalone commercial music release or transfer ownership of the underlying recording.

No additional compensation is owed solely for validly authorized uses within the scope of these Terms, except where applicable law or a separate agreement provides otherwise.

This license cannot authorize rights belonging to third parties who have not granted the necessary permission.

7. Artificial Intelligence and Submitted Music

TheREDDFactory will not intentionally use Submitted Content to train generative artificial intelligence models operated or commissioned by TheREDDFactory without obtaining separate express authorization from the appropriate rights holder.

TheREDDFactory does not represent that it controls every independent data-processing practice of third-party streaming platforms, hosting providers, or technology services.

Any future Company-operated use of submitted music for generative AI model training would require appropriate disclosure and authorization.

This provision applies to TheREDDFactory's own practices and does not constitute a guarantee concerning independent third-party conduct.

8. Reaction Clips and Promotional Recordings

TheREDDFactory may create audiovisual excerpts from livestream reviews featuring the host's reactions, commentary, and submitted musical material ("Reaction Clips").

To the extent lawfully authorized, TheREDDFactory may record, reproduce, edit, distribute, display, and publish Reaction Clips in connection with the operation, documentation, and promotion of its services.

Authorized uses may include:

TheREDDFactory may monetize original review programming and authorized Reaction Clips where the relevant rights and platform requirements permit such use.

The purchase of a paid review does not grant the customer exclusive ownership of the resulting Reaction Clip.

Artists retain their underlying music rights.

TheREDDFactory retains its independently owned rights in original review commentary and production elements.

TheREDDFactory does not acquire ownership of third-party compositions or recordings merely because they appear in a review.

Requests involving intellectual property, privacy, publicity rights, or other legally protected interests will be evaluated under applicable law.

9. Livestream Broadcasting and Archives

Live Music Reviews may be publicly broadcast through supported services, including YouTube, TikTok, Instagram, Facebook, Kick, and other platforms.

The platforms used during an individual session may vary.

Participants acknowledge that submitted songs, artist names, song titles, and reviewer commentary may be publicly presented.

TheREDDFactory ordinarily intends to publish completed livestream recordings through Miko517’s Official Artist YouTube channel following the broadcast.

Archived recordings may provide evidence that a review occurred.

However, third-party services may delay processing, mute audio, restrict distribution, remove recordings, or otherwise interfere with archive availability.

TheREDDFactory does not guarantee permanent public availability of livestream recordings.

The subsequent removal of an archived broadcast does not automatically invalidate a review that was properly completed live.

The existence of an archive also does not independently establish that every purchased benefit was fulfilled.

Relevant submission, queue, payment, and broadcast records may be considered together.

10. Official Five-Level Priority System

TheREDDFactory operates the following queue hierarchy:

1. THRONE — $25

2. SUPER SKIP — $10

3. PAID SKIP — $5

4. COMPLIMENTARY FREE SKIP — Promotional Gift

5. STANDARD FREE — $0

This hierarchy governs relative queue placement for submissions awaiting review.

Higher-priority submissions are ordinarily considered ahead of lower-priority submissions.

Within the same tier, earlier eligible submissions generally precede later submissions.

An active review already in progress does not ordinarily need to be interrupted when a higher-priority submission is received.

The priority system establishes review order, not a guaranteed start time.

11. Standard FREE Submissions

TheREDDFactory may allow eligible participants to submit music to its standard FREE queue without payment.

Standard FREE submissions receive the lowest priority.

A standard FREE submission does not include:

The reviewer may play a portion of a free submission, play the entire song, provide commentary, or decline to review it when time or operational circumstances do not permit.

A submission may remain unreviewed when a livestream ends before it is reached.

TheREDDFactory may impose reasonable limits on free participation.

Because no paid service was purchased, a standard FREE submission does not create an ordinary monetary refund entitlement.

12. Complimentary FREE SKIPs

TheREDDFactory may occasionally award complimentary promotional benefits known as FREE SKIPs.

A FREE SKIP is a promotional gift and is not a purchased $5 SKIP.

12.1 Promotional Queue Priority

A complimentary FREE SKIP allows an eligible submission to move ahead of the standard FREE queue.

It provides a free-queue line-jumping benefit comparable to one aspect of a purchased $5 SKIP.

However, complimentary FREE SKIPs remain below every actual paid priority tier.

The correct order is:

THRONE → SUPER SKIP → PAID SKIP → FREE SKIP → FREE

A purchased $5 SKIP takes priority over complimentary FREE SKIPs, regardless of whether a complimentary submission entered the queue first.

12.2 No Paid-Service Guarantees

A complimentary FREE SKIP does not provide:

12.3 Review Discretion

The reviewer may choose to play or review a complimentary FREE SKIP submission.

The reviewer may play part of the song, play the entire song, give abbreviated commentary, or provide a full review.

However, those outcomes are not contractually guaranteed by the complimentary gift.

12.4 Promotional Gift Status

A complimentary FREE SKIP has no purchase price and does not represent payment for review services.

It may not ordinarily be exchanged for cash.

TheREDDFactory may establish reasonable gift eligibility, redemption, and expiration conditions, provided these are properly disclosed.

Previously issued promotional gifts with expressly different promised benefits remain subject to their applicable original offer terms and legal requirements.

13. PAID SKIP — $5.00

A purchased SKIP costs $5.00 USD.

The purchase includes:

  1. Placement in the paid SKIP priority tier.
  2. Priority above complimentary FREE SKIPs.
  3. Priority above ordinary FREE submissions.
  4. Full playback of the eligible submitted song.
  5. A complete, honest public music review.

Paid SKIP remains below SUPER SKIP and THRONE.

The paid purchase provides more than queue placement alone because it includes the separate full-playback and review guarantees.

14. SUPER SKIP — $10.00

A purchased SUPER SKIP costs $10.00 USD.

The purchase includes:

  1. Placement in the SUPER SKIP priority tier.
  2. Priority over purchased $5 SKIPs.
  3. Priority over complimentary FREE SKIPs.
  4. Priority over ordinary FREE submissions.
  5. Full playback of the eligible submitted song.
  6. A complete, honest public music review.

SUPER SKIP remains below THRONE.

The higher purchase price provides greater queue priority, not a guaranteed favorable review.

15. THRONE — $25.00

A purchased THRONE costs $25.00 USD.

THRONE is the highest available paid priority tier.

The purchase includes:

  1. Placement in the THRONE priority tier.
  2. Priority over SUPER SKIP.
  3. Priority over PAID SKIP.
  4. Priority over complimentary FREE SKIPs.
  5. Priority over ordinary FREE submissions.
  6. Full playback of the eligible submitted song.
  7. A complete, honest public music review.

THRONE provides the highest queue priority but does not purchase favorable criticism or guaranteed commercial success.

16. Queue Management and Timing

Queue positions may change when higher-priority submissions are received.

An existing review may continue to completion before another submission begins.

Submissions within the same tier generally retain their relative order unless a legitimate operational adjustment is necessary.

TheREDDFactory may make reasonable adjustments for technical, legal, security, or operational reasons.

The Company will not intentionally or unnecessarily deprive a confirmed paid submission of its purchased priority.

A queue position represents relative priority and does not independently guarantee an exact playback time.

A reasonable delay caused by valid higher-priority submissions is not automatically a failure to honor the purchased priority.

17. Payment Confirmation and Priority Activation

Paid priority is activated after successful payment confirmation.

Supported Stripe card and digital-wallet transactions may receive automatic verification.

Alternative accepted payment methods may require confirmation by the owner or an authorized representative.

A pending payment notification, attempted transaction, or payment screenshot does not independently establish successful payment.

After confirmation, the purchased priority must be applied without requiring the customer to pay again for the same service.

TheREDDFactory may rely on authoritative payment records to verify transactions.

Customers should contact TheREDDFactory if a payment appears completed but the purchased priority has not been activated.

18. Paid Priority Fulfillment

Paid priority purchases contain distinct performance obligations.

18.1 Priority Placement

The priority-placement component is delivered when the payment is verified, the song is correctly assigned to its purchased tier, and the applicable priority is honored.

Once properly activated, the priority-placement component is ordinarily earned and non-cancellable.

18.2 Full-Song Playback

Each paid tier separately includes full playback of the eligible submitted recording.

This obligation is not completed by queue placement alone.

18.3 Complete Public Review

Each paid tier separately includes a substantive, honest public evaluation.

This obligation is not completed merely by announcing the song or acknowledging its payment.

18.4 Complete Transaction Fulfillment

The entire purchased service is considered fulfilled when its material obligations have been honored.

Correct priority assignment alone does not constitute completed full playback or completed review.

A confirmed payment alone does not establish that the entire service has been performed.

Verified material nonfulfillment remains subject to the refund provisions of these Terms.

19. Full-Song Playback Guarantee

Every purchased SKIP, SUPER SKIP, and THRONE includes full playback of the eligible submitted recording.

Full playback ordinarily means playing the song from its beginning to its natural ending during a public review.

Applicable legal or streaming-platform restrictions may interfere with playback.

Where full playback cannot lawfully or technically be completed, TheREDDFactory may seek a correctable solution or offer a replacement public review.

If the material purchased obligation remains unfulfilled, the customer may qualify for a refund or other applicable remedy.

Complimentary FREE SKIPs and standard FREE submissions do not include this guarantee.

20. Honest Review and Editorial Independence

TheREDDFactory provides independent musical commentary and criticism.

Reviews may include positive feedback, negative criticism, mixed opinions, ratings, and suggestions for improvement.

Purchasing priority does not guarantee:

A customer does not purchase control over the reviewer's artistic opinions.

Disagreement with a properly delivered honest review does not independently establish refund eligibility.

TheREDDFactory remains responsible for delivering a substantive review where one has been purchased.

21. Music Submission Requirements

Participants must provide an eligible streaming link or supported audio file.

Accepted music services may include Audiomack, Spotify, Apple Music, SoundCloud, YouTube, and other supported platforms.

BANDLAB LINKS ARE STRICTLY PROHIBITED. NO EXCEPTIONS.

Supported uploads include MP3, WAV, and FLAC, subject to the published technical requirements.

The current submission form accepts uploads up to 100 MB.

One song is permitted per individual submission.

Streaming links must be accessible without unavailable private permissions or credentials.

TheREDDFactory may reject inaccessible, corrupted, unsupported, unlawful, or materially mislabeled content.

Where an issue is reasonably correctable, the Company may request a replacement source.

Paid service obligations and refund rights remain subject to actual fulfillment and applicable legal requirements.

22. Prohibited Conduct

Participants must not:

TheREDDFactory may remove prohibited content, restrict participation, or take reasonable enforcement action.

Artistic profanity, criticism, or controversial expression is not automatically prohibited merely because it may offend some listeners.

Any enforcement affecting a paid and materially unfulfilled service remains subject to applicable contractual and legal obligations.

23. Intellectual Property Rights and Complaints

TheREDDFactory respects intellectual property rights and expects participants to do the same.

The Company's original logos, branding, website materials, graphics, software, review commentary, and other independently created materials are protected by applicable law.

Unauthorized exploitation of protected company materials may be prohibited.

Persons who believe their intellectual property rights have been infringed may contact:

Complaints should reasonably identify the allegedly infringing material, describe the asserted rights, and provide information sufficient to investigate.

TheREDDFactory may remove, restrict, or preserve disputed material as permitted or required by law.

Formal copyright notices and counter-notices will be handled according to applicable requirements.

24. Third-Party Platforms and External Links

TheREDDFactory may link to or rely on third-party music platforms, livestream services, payment providers, and other websites.

These services operate independently and maintain their own rules, restrictions, and policies.

A link to an external website does not automatically indicate sponsorship, authorization, affiliation, or endorsement.

TheREDDFactory does not control every independent decision or action taken by third-party services.

Participants access external services subject to their respective terms and applicable law.

Third-party interruptions do not automatically eliminate TheREDDFactory's express obligations concerning paid review fulfillment or legally required remedies.

25. Service Interruptions and Availability

Live Music Reviews depend on internet connectivity, hosting services, streaming software, broadcasting equipment, payment infrastructure, and third-party platforms.

Unexpected interruptions may occur.

TheREDDFactory may pause or reschedule affected sessions where reasonably necessary.

If a paid review was fully completed before an interruption, that later interruption does not retroactively invalidate delivery.

If a session ends before material purchased obligations have been fulfilled, the Company may offer a resumed or replacement public review.

An accepted replacement must preserve the applicable material service benefits.

Customers retain any refund or other remedy required by the applicable agreement or law.

Technical interruptions do not authorize the Company to falsely represent an incomplete paid review as completed.

26. Refund & Cancellation Policy — General Rule

This section and the following refund provisions form the official Refund & Cancellation Policy for TheREDDFactory Live Music Reviews.

ALL PAID PRIORITY PURCHASES ARE ORDINARILY FINAL AND NONREFUNDABLE AFTER SUCCESSFUL PAYMENT CONFIRMATION AND CORRECT ACTIVATION OF THE PURCHASED PRIORITY TIER, EXCEPT WHERE THE PURCHASED MATERIAL SERVICE IS VERIFIED AS NOT HONORED OR A REFUND OR OTHER REMEDY IS REQUIRED BY APPLICABLE LAW OR PAYMENT-NETWORK RULES.

Paid priority is a time-sensitive digital service.

The priority-placement component is ordinarily earned upon correct activation and honoring of the purchased priority.

However, the purchased transaction separately includes full-song playback and a substantive public review.

Those promises remain enforceable until delivered.

The general final-sale provision does not permit TheREDDFactory to permanently withhold material purchased benefits while treating the entire service as completed.

27. Refund Eligibility — Verified Nonfulfillment

A confirmed paid priority purchase may qualify for a refund or other appropriate remedy when reliable evidence establishes material nonfulfillment.

27.1 Failure to Honor Purchased Priority

A customer purchased a specific priority tier, but the applicable priority was not properly assigned or honored, resulting in material nonfulfillment.

27.2 Failure to Play the Submitted Song

The confirmed paid submission was not played and the material purchased service was not subsequently fulfilled through an accepted arrangement.

27.3 Failure to Provide Full Playback

The eligible submitted song did not receive the promised full playback, and the outstanding service was not subsequently completed.

27.4 Failure to Deliver a Complete Review

TheREDDFactory did not deliver the substantive, honest public review promised under the paid transaction.

27.5 Interrupted or Canceled Session

A session was interrupted or canceled before the purchased service could be completed, and the outstanding material obligations remain unfulfilled.

27.6 Other Material Nonfulfillment

Other verified circumstances establishing failure to deliver material purchased benefits may qualify for an appropriate remedy.

Refund eligibility is determined by the applicable purchase agreement, actual service performance, available evidence, and governing legal requirements.

A customer may accept a reasonable replacement public review, but cannot be compelled to accept a substitute where an applicable refund is legally due.

28. Circumstances That Do Not Ordinarily Qualify for Refund

A refund will not ordinarily be provided solely because:

These exclusions apply when the material purchased service was delivered and no other legally protected refund right exists.

They do not override verified nonfulfillment or statutory payment protections.

29. Voluntary Cancellations

Customers may abandon an unpaid checkout before completing payment.

After payment confirmation and proper activation of purchased priority, ordinary voluntary cancellation does not qualify for a refund.

Customers may request removal of a pending submission.

TheREDDFactory may accommodate reasonable requests where operationally possible.

However, voluntary withdrawal alone does not establish refund eligibility.

If TheREDDFactory is unable to deliver the material paid obligations, the transaction remains subject to the verified-nonfulfillment provisions.

30. Complimentary Free Skip Refund Status

Complimentary FREE SKIPs are promotional gifts and are not monetary purchases.

They have no purchase price and do not create ordinary service-fee refund rights.

A complimentary FREE SKIP does not guarantee full-song playback, a complete review, or review completion during the current session.

The Company may end a livestream before a complimentary submission is reached without automatically creating a financial obligation to the gift holder.

The promotional priority above the ordinary FREE queue must nevertheless be accurately represented and honored according to the applicable gift terms.

31. Duplicate, Unauthorized, and Incorrect Payments

Suspected unauthorized transactions, accidental duplicate charges, incorrect amounts, and payment-processing errors will be investigated separately from ordinary cancellation requests.

TheREDDFactory may review relevant transaction records and payment-provider confirmations.

Verified improper charges will be corrected as required by applicable law or payment-network rules.

Customers should avoid repeating a payment while a prior transaction remains pending verification.

TheREDDFactory will not require a customer to pay an additional fee merely to investigate a previously confirmed payment.

32. Refund Verification and Evidence

TheREDDFactory may evaluate refund requests using reliable documentation, including:

Customers must provide sufficient identifying information to permit a reasonable investigation.

TheREDDFactory will examine relevant records within its possession or control.

Customers are not required to independently produce internal records that only TheREDDFactory can access.

The absence of an archived recording does not automatically establish either successful fulfillment or nonfulfillment.

An unsupported allegation alone does not establish refund eligibility.

However, legitimate requests will be investigated fairly rather than automatically rejected.

Where reliable evidence establishes material nonfulfillment and refund eligibility, the appropriate refund or remedy will be provided.

33. Refund Request Procedure

Customers who believe a confirmed paid priority purchase was not honored may request an investigation.

Customers should provide the following where available:

  1. Artist or submitter name.
  2. Submitted song title.
  3. Email address associated with the submission.
  4. Purchased priority tier.
  5. Approximate date of payment.
  6. Transaction reference or receipt.
  7. Description of the suspected service failure.

TheREDDFactory may request additional information reasonably necessary to evaluate the transaction.

Refund decisions will be based on actual service fulfillment, reliable evidence, and applicable requirements.

Approved refunds will ordinarily be issued to the original payment method where supported.

Posting times depend on the payment provider and financial institution.

Submitting a refund request does not automatically guarantee approval.

34. Payment Disputes and Chargebacks

TheREDDFactory encourages customers to report payment errors or suspected nonfulfillment directly so the transaction may be investigated.

However, customers retain all payment-dispute rights available under applicable law and payment-network rules.

Customers may pursue legally available remedies through their payment provider, card issuer, financial institution, or other authorized channel.

TheREDDFactory may provide transaction records, purchase disclosures, priority histories, and review-fulfillment documentation when responding to a payment dispute.

Nothing in these Terms unlawfully waives statutory billing-error protections or other legally protected dispute rights.

35. Customer Information and Privacy

TheREDDFactory may collect information reasonably necessary to administer submissions, priority purchases, reviews, communications, and service verification.

This information may include:

Publicly displayed information may include artist names, song titles, submitted music, and review commentary.

Private payment credentials, contact email addresses, and private submission notes are not intended for public broadcast.

TheREDDFactory may use authorized service providers for payments, hosting, communications, and technical operations.

Submission information will not be used to add participants to unrelated marketing mailing lists without appropriate authorization.

Information will be handled in accordance with applicable law and the Company's actual privacy disclosures.

36. Limitation of Liability

To the maximum extent permitted by applicable law, TheREDDFactory does not guarantee uninterrupted access to its service, commercial success from reviews, or any particular financial outcome.

The Company is not responsible for speculative commercial losses, expected streaming revenue, or indirect damages to the extent such exclusions are legally enforceable.

Where lawful, contractual liability arising solely from an individual paid priority transaction is limited to the amount paid for that transaction.

Nothing in this section excludes or limits liabilities or remedies that cannot lawfully be restricted, including claims involving fraud, willful misconduct, or other protected circumstances.

These limitations do not eliminate the expressly promised material service obligations.

37. Indemnification

To the extent permitted by law, participants agree to indemnify TheREDDFactory against third-party claims and legally recoverable costs directly arising from their material misrepresentations regarding content rights, unlawful submissions, or other material violations of these Terms.

This obligation does not extend to TheREDDFactory's own independent misconduct or unauthorized uses outside the permissions validly granted.

Applicable legal defenses and limitations remain available.

38. Suspension and Termination

TheREDDFactory may restrict or terminate participation when reasonably necessary to address unlawful conduct, material violations of these Terms, fraud, threats to website security, or repeated abuse.

The Company may remove or restrict prohibited content.

TheREDDFactory may also discontinue future review sessions or services.

Suspension does not automatically extinguish legally protected claims relating to previously purchased and materially unfulfilled services.

39. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law principles, except where mandatory laws or consumer protections of another jurisdiction apply.

Participants are encouraged to contact TheREDDFactory regarding unresolved service or payment concerns.

Nothing in these Terms requires customers to waive legally protected payment disputes, statutory remedies, or access to available courts.

40. Changes to These Terms

TheREDDFactory reserves the right to modify these Terms to reflect changes in services, prices, operations, technology, or legal requirements.

The effective date displayed on the official Terms page identifies the applicable published version.

Material revisions will be disclosed as required by law.

Updated Terms will apply prospectively to the extent permitted by law.

Changes will not retroactively eliminate material benefits expressly promised under earlier completed purchases unless lawfully agreed or otherwise permitted by applicable law.

41. Severability and Waiver

If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

A failure by TheREDDFactory to enforce a provision on one occasion does not automatically constitute a permanent waiver of that provision.

42. Entire Agreement

These Terms, together with any applicable purchase disclosures presented at checkout, constitute the agreement governing participation in TheREDDFactory Live Music Reviews.

The Refund & Cancellation Policy is incorporated directly into this document.

There is no separate, competing Live Music Review refund agreement.

Where an applicable purchase disclosure and a general provision conflict, the more specific purchase commitment governs its subject matter, subject to mandatory legal requirements.

No informal communication eliminates the Company's expressly purchased service obligations unless lawfully modified through an authorized agreement.
